Owners Wanted to Sell a Majority of the Business and Retain Significant Ownership Interest
Background
K-Tec is a leading provider of direct mount and articulated dump truck pull / attachment scrapers. The Company primarily sells to dealers and distributors across a variety of end markets including land transformation for highway construction, agriculture and mining, among others. The owners wanted to sell a majority of the business but retain a significant ownership interest. At the same time, they wanted to expand their production capacity, pursue acquisitions and provide ownership to their key employees.
Solution
In 2018, ORG completed a transaction with the owners where they retained roughly 25% of the Company, 10% of the business was provided to key executives, and the company was capitalized for growth.
ORG Involvement
After completing the transaction, the Company invested over $12 million on a new world, class facility, capital equipment and R&D initiatives. The Company successfully acquired Ashland Industries in 2020 to create the leading company in the attachment scraper industry. To support this growth, the Company invested in a new ERP system and added key executives to their management team.
